​Fox Three Partners is actively looking to partner with established, profitable, closely held private companies with owners seeking liquidity. We do not invest in start-ups or companies with negative profit. While no company will fit all criteria, we are looking to invest in companies that have many of the criteria listed below.

Financial metrics

  • Revenue greater than $5.0 million
  • EBITDA greater than $1.0 million
  • Recurring, sticky and/or repetitive revenue stream​​
  • For add-ons​, minimum size criteria do not apply​​

We have strong relationships with Operating Partners and evaluate deals in other industries.

Business characteristics

  • ​Geographic Focus: Continental United States, with a preference for businesses geographically close to us. We like to be "local"
  • Stage of Life: Mature business, ideally more than 10 years old
  • Cash Flows: Positive and stable. While we like recurring revenues, we will invest in certain project-based businesses
  • Capital Expenditures ("Capex"): Low capital expenditures
  • Products and Services: Proprietary, unique and/or non-discretionary; ideally driven by recurring customer needs
  • Growth: Clear, executable growth strategy in current and/or adjacent markets
  • Management: We prefer to keep existing management, but are comfortable with transitions if existing management desires to leave or retire

  • Full Sale:  Owner seeking a liquidity event for retirement​ or other life event
  • Partial Sale:  Owner seeking to “take some chips off the table,” retain some ownership and take a “second bite of the apple” in the future
